1. About These Terms
These Terms and Conditions (the "Terms") govern access to and use of the Global Database software platform, website, mobile and browser applications, APIs, and the data and information made available through them (collectively, the "Services").
The Services are operated by Global Data Intelligence Limited, a company registered in England and Wales under number 09410808, with registered office at Artisans' House, 7 Queensbridge, Northampton, NN4 7BF, United Kingdom ("Global Database", "we", "us").
These Terms apply to every customer and every authorised user of the Services, regardless of subscription size, plan or region. "Customer" (also "you" or "your") means the business entity that registers for, subscribes to, orders, accesses or uses the Services, whether identified on an order form, invoice, online check-out or account registration. The Services are offered exclusively to business users; the Services are not intended for, and must not be used by, consumers.
By accessing, registering for, or using the Services, or by clicking "I accept", "I agree" or any equivalent button or check-box at registration, order placement or check-out, you confirm that you have authority to bind the entity you represent, that you have read and understood these Terms, and that you accept these Terms in full. You further represent, warrant and covenant that (i) you are acting in the course of a trade, business, profession or craft and not as a consumer, (ii) you are acquiring and using the Services for business purposes only, and (iii) you are not entitled to, and expressly waive, any consumer-protection rights, statutory cancellation or cooling-off rights, or other rights that would otherwise apply to consumers under applicable law. Any purchase made on the Services is a business-to-business transaction. You will be asked to review and accept these Terms each time you place an order or subscribe to any Service.
If you do not accept these Terms, you must not use the Services.
2. The Services
Global Database provides a cloud-based software-as-a-service platform that gives business users access to company information, corporate records, firmographic data and related intelligence. Our data is sourced from a combination of (i) official and government registries, (ii) publicly available information, (iii) insights generated in-house by Global Database, and (iv) data partners. The Services may include web access, browser extensions, integrations, APIs and any other functionality we make generally available from time to time.
We may add, modify, replace, re-price or discontinue any feature, dataset, country coverage, tier or functionality at any time, at our sole discretion. Where a change materially reduces the core functionality of a paid Service during an active subscription, we will use reasonable efforts to provide advance notice.
3. Access and Accounts
Login credentials are personal to a single named user. Sharing credentials, pooling access, or permitting any third party to access the Services under your account is strictly prohibited. You are responsible for all activity under your account, including any unauthorised access caused by your failure to keep credentials secure.
We may require multi-factor authentication, SSO, or other reasonable security measures as a condition of access. We may refuse, suspend or revoke access to any account at our sole discretion, including where we reasonably suspect misuse.
4. Permitted Use
Subject to your continuous compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services solely for your own internal business purposes for the duration of your subscription.
You may use the Services to support internal operations such as business research, due diligence, compliance checks, supplier verification, credit and risk review, prospecting, and data quality assurance of your own records. Any use beyond internal business purposes requires our prior written consent.
You represent, warrant and covenant that your use of the Services, and any use by your personnel or any person accessing the Services through your account, shall at all times comply with all applicable laws, rules and regulations, and shall not infringe the rights of any third party.
5. Prohibited Use
You must not, and must not permit any other person to:
resell, redistribute, sublicense, rent, publish, broadcast or otherwise make the Services or any data obtained from them available to any third party;
use the Services, in whole or in part, to train, develop, fine-tune, benchmark, evaluate, test, prompt, ground, retrieve-augment or otherwise input into any artificial intelligence, machine-learning, generative-AI, large language, embedding, foundation or similar model, whether your own or a third party's — this prohibition applies to all data, records, outputs, extracts and responses obtained from the Services, in any form, at any time;
build or assist any person in building any product, service, dataset or database that competes with, substitutes for, or is derived from the Services;
scrape, crawl, spider, harvest, bulk-download, systematically extract or mirror any portion of the Services, except through API endpoints specifically licensed for that purpose and within the documented rate limits;
reverse-engineer, decompile, disassemble or otherwise attempt to derive the source code, structure, algorithms or internal workings of the Services, except to the extent this restriction cannot be excluded under applicable law;
circumvent, disable, interfere with or attempt to defeat any authentication, access control, rate limit, watermark, record identifier or security feature;
remove, obscure or alter any proprietary notice, attribution, identifier or marking;
use the Services for any unlawful, fraudulent, deceptive or harmful purpose, or in any way that could damage the reputation, integrity or availability of the Services or harm other users; or
do anything that could damage Global Database's brand, reputation or commercial interests.
Any breach of this Section 5 is a material breach of these Terms and entitles us to suspend or terminate access immediately without refund, without prejudice to any other remedy available to us, including claims for damages and injunctive relief.
You acknowledge that any breach or threatened breach of this Section 5 or of Section 9 (Confidentiality) is likely to cause Global Database harm for which monetary damages alone would be an inadequate remedy, and agree that Global Database shall be entitled to seek injunctive relief, specific performance or other equitable relief from any court of competent jurisdiction, in addition to any other remedy available at law.
6. Fees and Payment
Fees, billing frequency and subscription duration are as set out in your order, invoice or online checkout. All fees are payable in advance and are exclusive of VAT and other applicable taxes.
Access to the Services will be granted, activated or released only after Global Database has received full payment of the applicable fees in cleared funds. Until payment is received in full, Global Database is under no obligation to provide, activate, extend or continue access to the Services, regardless of any prior communication, order form or acceptance. The Subscription Term shall commence on the date access is actually granted to the Customer, and not on the date of any order form, invoice or acceptance.
Global Database does not store customer credit or debit card details. Card payments are processed through third-party PCI-compliant payment providers.
ALL FEES ARE STRICTLY NON-REFUNDABLE. GLOBAL DATABASE DOES NOT ISSUE REFUNDS, CREDITS OR PRO-RATED REIMBURSEMENTS UNDER ANY CIRCUMSTANCES, INCLUDING ON EARLY TERMINATION, SUSPENSION, NON-USE, PARTIAL USE, OR DOWNGRADE OF THE SERVICES, AND REGARDLESS OF THE REASON FOR CANCELLATION.
Subscriptions renew automatically at the end of each term on the then-current terms and pricing, unless cancelled in writing at least sixty (60) days before the renewal date. We may revise pricing on renewal. If any amount is overdue, we may suspend or terminate access, charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998, and recover reasonable costs of collection.
7. Intellectual Property
All rights, title and interest in and to the Services, including the underlying software, the database, all data and content made available through the Services, all outputs, and all intellectual property rights therein, belong exclusively to Global Database (or its licensors). No rights are transferred to you. These Terms grant you only the limited right of use expressly set out above, for the duration of your subscription.
Any feedback, ideas or suggestions you provide may be used by us freely and without obligation.
8. Data Protection
The parties act as independent controllers in respect of any personal data processed in connection with the Services. Each party is responsible for its own compliance with applicable data protection laws as a controller, and neither party acts as a processor of the other.
Details of how we collect, process and handle personal data are set out in our Privacy Notice – Database and Privacy Notice – Website, which are available on our website and form part of our overall data-protection framework. Those notices, and not these Terms, regulate data-protection matters in detail.
9. Confidentiality
Each party shall keep the other's non-public commercial, technical and business information confidential, use it only for the purposes of these Terms, and protect it with at least reasonable care. This obligation does not apply to information that is or becomes public through no fault of the recipient, is independently developed, or is required to be disclosed by law. This Section survives termination for three (3) years.
10. Disclaimers
THE SERVICES AND ALL DATA, RECORDS, REPORTS AND OUTPUTS OBTAINED THROUGH THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLOBAL DATABASE DISCLAIMS ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF ACCURACY, COMPLETENESS, CURRENCY, TIMELINESS, RELIABILITY, MERCHANTABILITY, QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
The Services are compiled from multiple sources, including official registries, publicly available information, in-house insights and third-party data partners, the accuracy and timeliness of which we do not fully control. You acknowledge that the Services will contain errors, omissions and out-of-date records, and that you are solely responsible for exercising your own skill, judgment and independent verification before relying on any information obtained from the Services. The Services do not constitute legal, financial, tax, credit, compliance or professional advice and must not be used as the sole basis for any decision.
Global Database does not represent, warrant or covenant that the Services, or your use of them, will cause you or any third party to comply with any law, rule, regulation, industry standard or policy (including any law relating to anti-money laundering, counter-terrorist financing, sanctions, know-your-business, know-your-customer, credit reporting, data protection, marketing or unsolicited communications). If you use the Services in connection with any compliance, regulatory or legal obligation, you do so at your sole risk and remain fully responsible for your own compliance.
Except where a separate written service-level agreement has been signed by a duly authorised representative of Global Database, no service-level, uptime, availability, response-time or performance commitment applies to the Services. Any statements to the contrary on our website, marketing materials or other collateral are informational only and do not form part of these Terms.
Where any part of the Services is sourced from a third-party data partner or supplier, the Customer agrees to comply with any additional use restrictions, attribution requirements or territorial limitations imposed by that supplier, as notified by Global Database from time to time.
In the event that the Services become unavailable, are interrupted or fail to perform for any reason not caused by the Customer, and such unavailability is not cured within a reasonable period, the Customer's sole and exclusive remedy shall be an extension of the current subscription term by a period equivalent to the period of unavailability. No refund, credit, damages or other remedy shall be payable.
11. Indemnity
You shall defend, indemnify and hold Global Database, its affiliates, officers, directors, employees and licensors harmless from and against any claim, loss, liability, cost or expense (including reasonable legal fees) arising out of or in connection with your use of the Services, your breach of these Terms, your breach of any applicable law, any decision you or any third party make in reliance on the Services, or any data or content you submit to us.
FOR THE AVOIDANCE OF DOUBT, GLOBAL DATABASE PROVIDES NO INDEMNITY, DEFENCE OR HOLD-HARMLESS OBLIGATION OF ANY KIND TO YOU OR ANY THIRD PARTY UNDER THESE TERMS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLOBAL DATABASE SHALL NOT BE LIABLE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY OR OTHERWISE, FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, ANTICIPATED SAVINGS, DATA, OPPORTUNITY OR REPUTATION, FOR ANY REGULATORY FINE OR PENALTY, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL LOSS OF ANY KIND, EVEN IF ADVISED OF THE POSSIBILITY.
GLOBAL DATABASE'S TOTAL AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS, FROM ALL CLAIMS AND CAUSES OF ACTION COMBINED, SHALL NOT EXCEED THE FEES ACTUALLY PAID BY YOU TO GLOBAL DATABASE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE FIRST CLAIM.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded or limited under applicable law.
Any claim by the Customer against Global Database arising out of or in connection with these Terms or the Services must be notified in writing to Global Database within twelve (12) months of the event giving rise to the claim. Any claim not brought within that period is irrevocably waived and forever barred.
13. Suspension and Termination
We may suspend or terminate your access to the Services, in whole or in part, immediately and without refund, if you breach these Terms, if any fee is overdue, if we reasonably suspect misuse, or if we are required to do so by law or by a registry or data source.
On termination or expiry, your right to use the Services ends, and you must, within thirty (30) days, cease all use of the Services and delete or destroy all data, records, outputs and materials obtained from the Services, including any copies stored in backups, caches, archives, CRM systems, data warehouses, third-party integrations or other environments under your control, and certify such deletion in writing upon our request. The only permitted exception is data that you are required to retain by applicable law or that is embedded in completed compliance, due-diligence or transaction records created before termination, which may be retained solely for the minimum statutory retention period. Any fees already paid remain non-refundable. Sections 5, 7, 9, 10, 11, 12, 13, 14 and 15 survive termination.
14. General
We may update these Terms from time to time. For new Customers and for prospective or free users, updated Terms take effect when posted on our website. For existing paying Customers within an active Subscription Term, any change that materially reduces their rights or increases their obligations will take effect on the later of (i) the start of the next Renewal Term or (ii) thirty (30) days after we have given written notice of the change by email or through the Services. Continued use of the Services after that date constitutes acceptance.
These Terms, together with any applicable order or invoice and the referenced Privacy Notices, are the entire agreement between the parties in relation to the Services and supersede all prior arrangements.
The Customer may not assign, transfer, novate, sub-license, sub-contract, delegate or otherwise dispose of any of its rights or obligations under these Terms, in whole or in part, without the prior written consent of Global Database, which may be withheld at Global Database's sole discretion. Any purported assignment in breach of this clause is void.
Global Database may, at any time and without the Customer's consent or notice, assign, transfer, novate, sub-license, sub-contract, delegate or otherwise dispose of any or all of its rights and obligations under these Terms, in whole or in part, to any person or entity, including to any affiliate, successor, purchaser, investor, financing party, or in connection with any merger, acquisition, reorganisation, restructuring, sale of assets or shares, or similar corporate transaction. The Customer hereby consents in advance to any such assignment or transfer, and the Customer's continued use of the Services following any such assignment shall constitute acceptance of the assignee as the counterparty under these Terms.
No failure or delay by us to enforce any right is a waiver. If any provision is held invalid or unenforceable, the remainder continues in full force. The parties are independent contractors. A person who is not a party has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term.
Neither party is liable for any failure or delay caused by events beyond its reasonable control, including act of God, war, terrorism, civil disturbance, pandemic, fire, flood, internet or telecommunications outage, cyber-attack or act of government.
15. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales, except that Global Database may bring proceedings in any competent jurisdiction to protect its intellectual property rights or to obtain injunctive relief.
