Pennsylvania Department of State Business Search: Complete 2026 Guide

The Pennsylvania Department of State holds one of the largest active business registries in the United States. As of 2026, more than 3 million business entities are registered with the Bureau of Corporations and Charitable Organizations — confirmed directly by the bureau itself.

For compliance teams, KYB providers, sales teams, and investors, Pennsylvania is unusual in two ways: the public business search is completely free, and as of January 2025, every entity must file an annual report — a major shift from the old decennial (every-10-year) system.

This guide breaks down exactly what you can get, what you cannot, how much it costs, and how to pull the data at scale.

About the Pennsylvania Department of State

Unlike most U.S. states, Pennsylvania does not have a "Secretary of State" — the equivalent role is held by the Pennsylvania Department of State, headed by the Secretary of the Commonwealth. The current Secretary is Al Schmidt, appointed by Governor Josh Shapiro in January 2023.

Business filings are handled by the Bureau of Corporations and Charitable Organizations (BCCO), a division within the Department of State. The BCCO is responsible for:

  • Filing and maintaining all domestic and foreign business entity records
  • Administering UCC Article 9 filings (secured transactions)
  • Administering Pennsylvania trademarks and service marks
  • Registering and overseeing more than 16,000 charities operating in the Commonwealth
  • Maintaining the Fictitious Name (DBA) registry
  • Processing the new annual reports launched in 2025

According to the BCCO itself, the bureau "maintains the records repository of more than 3 million companies that do business in the Commonwealth and serves as the centralized filing office for Uniform Commercial Code financing statements."

How big is the Pennsylvania business registry?

Pennsylvania ranks among the top five states in the U.S. for total registered business entities. Here's what it looks like at a glance.

3M+ Active business entities (2026)
16K+ Registered charities

The Pennsylvania registry includes both domestic Commonwealth entities and out-of-state ("foreign") entities registered to transact business in Pennsylvania. LLCs are the dominant entity type, followed by business corporations.

Filing volume and processing times

The Bureau of Corporations and Charitable Organizations processes a significant volume of filings each year. Online filings via PennFile are typically processed immediately — paper filings take longer.

Entity types in the Pennsylvania registry

The Bureau of Corporations and Charitable Organizations registers eight major entity classifications. The fictitious name (DBA) registry is also separately maintained.

Pennsylvania business entities by type (approximate share)

LLCs are by far the largest classification. Other categories are estimated based on filing patterns; exact breakdowns are not publicly published.

Source: Pennsylvania Department of State — BCCO confirms 3M+ total. Breakdown by entity type is estimated from typical state-registry distributions; not officially published.

ℹ️
Important caveat

Pennsylvania does not use an "active" status for corporations. Instead, an entity is considered to be "in good standing" if it has not been dissolved, canceled, merged, withdrawn, name-changed, or had its term expire. The 3M+ figure includes all entities that have not been formally terminated.

What data is in the Pennsylvania registry

All filings are held by the Bureau of Corporations and Charitable Organizations (BCCO). Data is drawn from formation documents, annual reports, and amendments. Records are public — but indexed only by entity name or number, not by officer, owner, address, or tax ID.

What you can and cannot pull from the Pennsylvania Department of State

Coverage by data field category.

Core fields available for every entity

  • Legal entity name (exact spelling and punctuation)
  • Entity type (LLC, Corporation, LP, LLP, Nonprofit, Business Trust, Professional Association)
  • Entity number (unique state ID)
  • Filing date and effective date
  • Status (in good standing, dissolved, canceled, merged, withdrawn, expired)
  • Registered office address
  • Officers, governors, or general partners (when filed)
  • Filing history (amendments, name changes, mergers)
  • Jurisdiction of formation
  • Annual report compliance status (post-2025)

Fields that may or may not be available

Per the BCCO itself, the following may or may not appear, depending on entity type and supplemental filings:

  • Business purpose (always shown for fictitious names and professional corporations; sometimes for others)
  • Owner names (only for fictitious names)
  • Trademark classification

Data you will not get from the DOS

  • Officer addresses (confirmed by BCCO as not in public records)
  • Stockholders or LLC members
  • Business phone numbers
  • Tax information (federal or state)
  • Federal Employer ID Numbers (FEINs)
  • Revenue, employee counts, or financials
  • Beneficial ownership data (UBO) — reported separately to FinCEN

For anything beyond the public record, you need a commercial intelligence provider.

Free online search vs. paid records

Pennsylvania is one of the most accessible state registries in the country: the public business search is completely free. Fees only apply when you order specific records, certificates, or written searches.

🔄
URL change: PA Business One-Stop Hub → PennFile

The Pennsylvania Department of State migrated business filings from the legacy "PA Business One-Stop Shop" to the new file.dos.pa.gov (PennFile / Business Filing Services) portal. Older bookmarks and links pointing to the previous URL may no longer work — all current filings, searches, and annual reports go through file.dos.pa.gov.

PennFile (Business Filing System)

file.dos.pa.gov

$5–$1,000
  • File new entities and amendments
  • Order Certificates of Subsistence ($40)
  • File annual reports ($7)
  • Pay UCC filings ($84 each)
  • Account and Keystone Login required

Option 1: Free Business Entity Search

The free public search at file.dos.pa.gov/search/business is the primary access point. No account is needed.

  • Search fee: $0
  • Search by entity name (full or partial), entity number, or registered agent
  • Returns: name, type, status, formation date, registered office, officers (when filed), and filing history
  • Click into any entity to see all filed documents (some require purchase to view full content)
  • No data limits, no rate limits enforced for normal browsing

Option 2: PennFile (paid services)

PennFile is the Department of State's online portal for filings and document orders. Most paid services flow through this system.

  • Account required: Keystone Login (state-wide single sign-on)
  • Payment: Credit card for online filings (only); check or money order for paper filings
  • Available 24/7 with confirmation emails for all filings
  • Used for: annual reports, formation documents, amendments, certificates, and UCC filings
💡
Rule of thumb

For most lookups — name availability, entity status, registered office — the free public search is enough. For compliance-grade evidence (Certificate of Subsistence, certified copies, written record search), you need PennFile.

Pennsylvania Business Entity Search: step-by-step walkthrough

Here's the exact process for running a free lookup. Total time for a first-time user is under 5 minutes — there's no account setup needed.

  1. Go to the Business Entity Search Open file.dos.pa.gov/search/business. No account, no login required. The search page loads directly.
  2. Choose your search type Search by Business Name (full or partial), Entity Number, or Officer/Registered Agent name. The Officer/Agent search is unique to Pennsylvania — Texas does not allow it.
  3. Enter the entity name Type the business name. The system supports partial matches (e.g., "Skyline" returns "Skyline Farms LLC"). Pennsylvania law requires unique names, so most exact-match searches return one result.
  4. Review the results The results page shows entity name, type, entity number, status, and filing date. Click the entity to view full details including registered office, officers (when filed), and filing history.
  5. View filing history (optional) From the entity detail page, view all filed documents — Articles of Incorporation, Certificate of Organization, amendments, annual reports, and mergers. Document images may be free or require a $40 certified copy fee.
  6. Order a Certificate of Subsistence (optional) If you need official proof of good standing, log into PennFile with a Keystone Login and order a Certificate of Subsistence for $40. It's the equivalent of a Certificate of Good Standing in other states.
📞
Phone option

You can also call the BCCO at (717) 787-1057 Mon–Fri, 8:00 a.m.–4:45 p.m. To accommodate call volume, representatives will look up two entity names per call. They cannot search by officer or owner name — only by entity name or number.

Pennsylvania Department of State filing fees

Pennsylvania's filing fees are among the most affordable in the country, especially the $7 annual report and free public search. These are the current published fees.

Payment rules

Pennsylvania does not accept cash. Filings paid by mail require check or money order. Credit cards are accepted only for online filings via PennFile and for expedited services. Veteran-owned and reservist-owned small businesses may qualify for fee exemptions under Act 135 of 2016.

Pennsylvania annual report requirement (effective 2025)

Pennsylvania made one of the most significant business filing changes in its history when it launched annual reporting on January 1, 2025. Under Act 122 of 2022, the long-standing decennial (every-10-year) report system was repealed and replaced with annual filings.

Who must file

The annual report applies to virtually every registered entity:

  • Domestic and foreign business corporations
  • Nonprofit corporations
  • Limited liability companies (LLCs)
  • Limited partnerships (LPs)
  • Limited liability partnerships (LLPs)
  • Business trusts and professional associations
  • Exempt: sole proprietorships and general partnerships

Deadlines & fees

Business corporations & nonprofitsJune 30$7 / $0
LLCsSeptember 30$7
LPs, LLPs, business trusts, professional associationsDecember 31$7

Source: Pennsylvania Department of State — Annual Reports page. Fee waived ($0) for nonprofit corporations and LPs/LLCs with a not-for-profit purpose.

Enforcement timeline

To ease the transition, the Department built in a two-year grace period:

  • 2025 reports: No dissolution or termination penalty for non-filing. Entities listed as delinquent only.
  • 2026 reports: Same grace period — delinquent listing only.
  • 2027 reports onward: Full enforcement. Entities that fail to file within 6 months of their deadline face administrative dissolution (domestic) or termination of registration (foreign).

Reinstatement fees after dissolution

If an entity is administratively dissolved or terminated for failure to file, reinstatement is possible — but the rules differ for domestic vs. foreign entities.

ItemFeeNotes
Application for Reinstatement (online)$35Filed via PennFile
Application for Reinstatement (paper)$40Mailed to BCCO
Each delinquent annual report$15Per missed year, in addition to the $7 base fee
Time limit on reinstatement (domestic)NoneDomestic entities can reinstate at any time under 15 Pa.C.S. § 383
⚠️
Foreign entities: no retroactive cure

Foreign associations administratively terminated for failure to file cannot reinstate under domestic rules. They must submit a new Foreign Registration Statement ($250) — and may lose their original business name if another entity has registered it during the dissolution period. This is a critical KYB compliance risk for multi-state entities operating in Pennsylvania.

Pennsylvania annual report vs. FinCEN BOI report

The Pennsylvania annual report is frequently confused with the federal Beneficial Ownership Information (BOI) report required under the Corporate Transparency Act. They are two completely different filings.

Pennsylvania Annual ReportFinCEN BOI Report

Both filings are mandatory if applicable to your entity — completing one does not satisfy the other.

📋
Major change for KYB workflows

Annual reports now create a fresh data point every year for every registered Pennsylvania entity — registered office, governors, principal officers. This is a meaningful improvement over the decennial system for compliance monitoring. The data appears on the public search at file.dos.pa.gov immediately after filing.

Pennsylvania bulk data: pricing & formats

Pennsylvania's bulk data approach is fundamentally different from Texas. There's no Master Unload, no daily/weekly subscription product. Instead, bulk lists are sold per-name at $0.25 each, with the BCCO generating custom lists on request.

Pennsylvania bulk data cost model

Cost scales linearly with the number of entities. Below shows estimated total cost for typical filtered lists.

How it works

The BCCO generates two types of lists:

  • New Filings Lists — All new associations filed within a specific time period (typically monthly)
  • Specialized Data Lists — Filtered by entity type, formation date, county, or other criteria

Each list contains: entity name, file date, address, purpose (when applicable), entity number, and owners (fictitious names only).

Bulk ProductPriceNotes
List by entity (per name)$0.25Fixed per-name fee regardless of filter
Estimated full registry (3M entities)~$750,000Theoretical max; rarely purchased in bulk
New LLCs filed in a single month (~10,000)~$2,500Typical KYB / sales prospecting use case

Written record search (per entity)$15Full filing history for one entity

Source: Pennsylvania Department of State BCCO — Frequently Asked Questions. Lists are produced by the bureau on request; pricing has been stable.

Format and delivery

  • Lists are delivered electronically (typically CSV or Excel) after payment
  • Monthly new-filing lists are routinely produced and ready for fast delivery
  • Custom specialized lists may take 5–10 business days to compile
  • Payment by check or money order; credit card not accepted for bulk orders
⚖️
Pennsylvania vs. Texas bulk pricing

Texas charges $1,750 for the entire registry (3M+ entities) — about $0.0006 per entity. Pennsylvania charges $0.25 per name — roughly 400× more expensive for full-registry coverage. This makes Pennsylvania bulk economically viable only for filtered subsets, not the full registry.

UCC filings in Pennsylvania

The Pennsylvania Department of State is the central filing office for Uniform Commercial Code (UCC) Article 9 filings — the records that secure personal property collateral for loans. For KYB, credit risk, and secured lending workflows, UCC data is critical.

What's in the Pennsylvania UCC system

  • UCC-1 Financing Statements — records a secured party's interest in a debtor's collateral
  • UCC-3 Amendments — continuations, terminations, assignments, and party changes
  • Information Requests (UCC-11) — certified search of UCC records for a specific debtor
  • Statements of Claim — for non-UCC liens such as agricultural and statutory liens

Fictitious Names (DBAs) in Pennsylvania

A Pennsylvania business that operates under a name other than its legal entity name must register a Fictitious Name — Pennsylvania's term for what most states call a DBA ("doing business as"). The Department of State maintains the central Fictitious Name registry separately from the entity registry.

How the system works

  • All entities and individuals doing business under a non-legal name must file — including sole proprietors, general partnerships, LLCs, corporations, and foreign entities
  • Filed with the BCCO using Form DSCB:54-311
  • The fictitious name registry is searchable in the same Business Entity Search at file.dos.pa.gov
  • Owners are listed publicly for fictitious names — unlike LLCs, where members are hidden
  • Effective until canceled (no expiration period required)
FilingCostNotes
Registration of Fictitious Name (Form DSCB:54-311)$70One-time filing; no expiration
Cancellation of Fictitious Name$70To formally end the registration
Amendment to Fictitious Name$70To update owners or address
Newspaper publication requirementVariesNotice must be advertised in two general circulation papers in the county

For KYB workflows, fictitious names in Pennsylvania are especially valuable because the registry shows the actual owners — making it easier to link a trading name back to a real party. This is a meaningful difference from how other state DBA registries work.

Foreign entity registration in Pennsylvania

Out-of-state entities (called "foreign" entities in Pennsylvania law) that conduct business in the Commonwealth must register with the Department of State by filing a Foreign Registration Statement. This applies to corporations, LLCs, LPs, LLPs, business trusts, and nonprofits formed in any other U.S. state or country.

Registration fees

FilingFeeNotes
Foreign Registration Statement (initial)$2502× the domestic LLC formation fee
Amendment to Foreign Registration$250For name changes, registered office updates, or other amendments
Statement of Withdrawal of Foreign Registration$70To formally cease operations in PA
Annual Report (foreign entity)$7Same fee and deadlines as domestic entities

Required documentation

The Foreign Registration Statement must be accompanied by a Certificate of Existence (Good Standing) from the entity's home state, dated within the previous 90 days. This document confirms the entity is in good standing where it was originally formed.

🌐
Foreign vs. domestic compliance gap

A foreign entity that fails to file PA annual reports faces termination of registration — and as noted earlier, cannot reinstate under domestic rules. It must re-register from scratch. KYB teams reviewing foreign-registered entities should confirm both home-state and Pennsylvania compliance.

Tax clearance: the hidden compliance step

Pennsylvania has a unique compliance gotcha that surprises many filers: you cannot dissolve or withdraw an entity without first obtaining a Tax Clearance Certificate from the Pennsylvania Department of Revenue. This is a separate filing from the Department of State.

How tax clearance works

  • Required for: dissolution of domestic entities, withdrawal of foreign entities, mergers where the surviving entity is leaving Pennsylvania
  • Confirms the entity has filed all required tax returns and paid all state taxes
  • Two clearances are required: one from the PA Department of Revenue and one from the PA Department of Labor & Industry
  • Processing time: typically 4–8 weeks (longer than Department of State filings)
  • No fee for the certificates themselves

Why this matters for KYB

An entity may appear "active" on the Department of State's public search but still be unable to legally dissolve due to outstanding tax obligations. For acquirers conducting due diligence, tax clearance status is a meaningful indicator of true compliance health. The Department of State's free search does not show tax clearance status — that requires a separate inquiry to the Department of Revenue.

📋
Two separate compliance trails

For a complete Pennsylvania entity health check, KYB teams should verify both: (1) Department of State subsistence and annual report compliance, and (2) Department of Revenue tax compliance. The two systems do not share data publicly.

Is there a Pennsylvania Department of State API?

⚠️
Short answer: No — not a public one.

The Pennsylvania Department of State does not publish a public REST API for business entity data. Access is limited to the free online search at file.dos.pa.gov or paid bulk lists at $0.25 per name.

Third-party providers offer Pennsylvania entity data via API, but these typically scrape the public search portal — which works in practice but creates these limitations:

  1. Subject to rate limits and terms of service of the underlying portal
  2. Limited to data the search returns (no bulk historical records)
  3. No SLA on freshness or uptime

The Department of State has been gradually modernizing through the Business One-Stop Hub initiative, but a public API has not been announced as of 2026.

If you need Pennsylvania data at API scale, your realistic options are:

  • Use a commercial provider with a multi-state API that aggregates Pennsylvania data
  • Buy filtered bulk lists at $0.25 per name and build your own database
  • Implement a polite, rate-limited scraper of the public portal — only for low-volume use cases

Why one-state data is not enough

A Pennsylvania-only feed solves one problem. But most real compliance, KYB, and sales workflows do not stop at the state line — and Pennsylvania's economy is unusually interconnected with neighboring jurisdictions.

  • A Philadelphia financial services firm may have parent entities in Delaware (the U.S. holding-company capital just an hour's drive south)
  • A Pittsburgh tech company may have foreign subsidiaries registered in Ireland, the UK, or Singapore
  • A central PA logistics or warehousing operator typically has registered office addresses in NJ, OH, NY, MD, and DE
  • An energy or pipeline company in western PA almost always operates across WV, OH, and NY state lines
  • Beneficial owners (UBOs) of a Pennsylvania LLC may be Cayman, BVI, or Luxembourg entities reporting separately to FinCEN
  • Directors and officers commonly hold positions in entities registered in 3+ other U.S. states

If you pull data only from the Pennsylvania Department of State, you see a fraction of the picture.

One feed. Every state. Every country.

Global Database covers every U.S. state — all 50 states plus DC — sourced directly from each state registrar. On top of that, we cover 600 million+ companies across 200+ countries with data sourced directly from 400+ government registries worldwide.

One API. One data contract. No stitching together 50 state bulk products, Master Unloads, or third-party scrapers.

The Pennsylvania Secretary of the Commonwealth is Al Schmidt, appointed by Governor Josh Shapiro in January 2023. The Department of State oversees business filings, UCC filings, charity registrations, professional licensing for over 1 million license holders, elections, notary commissions, and document authentication. Pennsylvania is one of only a handful of states where the chief filing officer is called "Secretary of the Commonwealth" rather than "Secretary of State."

Frequently asked questions

1. How do I search a business on the Pennsylvania Department of State website?
Use the free Business Entity Search. Go to file.dos.pa.gov/search/business and search by entity name, entity number, or registered agent. No account required, no fee. The search returns entity status, formation date, registered office, and filing history. See our full state-by-state Secretary of State search guide.
2. Is the Pennsylvania business search free?
Yes, completely free. The Pennsylvania Department of State business entity search at file.dos.pa.gov is free to the public with no account or registration required. Fees only apply if you order certified copies, certificates, or written record searches.
3. How do I check if an LLC name is available in Pennsylvania?
Run a free name search. Search file.dos.pa.gov for your desired name. If no exact or confusingly similar match appears, the name is likely available. You can reserve it for 120 days by filing a Name Reservation form for $70. For multi-state name screening, use Global Database company enrichment.
4. How do I find the owner of a Pennsylvania LLC?
You can't fully. Pennsylvania does not publicly disclose LLC members or shareholders. The state shows registered office, governors, and principal officers — but not membership percentages or beneficial ownership. For ownership data, see Global Database business credit reports.
5. How do I get a Certificate of Subsistence from the Pennsylvania Department of State?
$40 via PennFile. Pennsylvania's Certificate of Subsistence is the equivalent of a Certificate of Good Standing — it confirms the entity is current with state filings. Order online through PennFile at file.dos.pa.gov using a Keystone Login.
6. What is the new Pennsylvania annual report requirement?
Effective January 1, 2025. All LLCs, corporations, LPs, LLPs, business trusts, and professional associations must file annually. Fee is $7 for-profit, $0 nonprofit. Deadlines: corporations June 30, LLCs Sept 30, others Dec 31. Full enforcement begins with 2027 reports.
7. How do I check if a Pennsylvania business is active?
Search file.dos.pa.gov for free. Pennsylvania does not use an "active" status — entities are "in good standing" if not dissolved, canceled, merged, withdrawn, or expired. The free search returns the current status code on every record.
8. Does Pennsylvania have a business entity API?
No. The Pennsylvania Department of State does not publish a public API. Access is via the free online Business Entity Search or paid bulk lists ($0.25 per name). For multi-state coverage, see the Global Database API.
9. How much does the full Pennsylvania Department of State business database cost?
$0.25 per name. Pennsylvania sells bulk lists at 25 cents per entity name. For all 3 million entities, that's roughly $750,000. Most users buy filtered subsets or use a commercial provider — see Global Database corporate bulk data.
10. How do I get Pennsylvania Department of State data with other states in one feed?
Use a commercial provider. The PA Department of State only sells Pennsylvania data. For multi-state coverage in one feed, Global Database covers all 50 U.S. states plus 200+ countries, sourced directly from 400+ government registries.
